THIS DISTRICT PROJECT AGREEMENT (this “Agreement”) is made and entered into as of this day of August, 2021, by and among the CITY OF SUNSET HILLS, MISSOURI (the “City”), an incorporated city and political subdivision of the State of Missouri, the SHOPPES AT SUNSET HILLS COMMUNITY IMPROVEMENT DISTRICT (the “District”), a community improvement district and political subdivision of the State of Missouri, and SUNSET HILLS OWNER LLC (the “Developer”), a Delaware limited liability company (the City, the District and the Developer may each be referred to herein as a “Party,” and collectively as the “Parties”).
