THIS AGREEMENT (hereinafter “Agreement” or “Contract”) for the acquisition of hourly-based information technology services is made by and between the People of the State of New York, acting by and through the Commissioner of the New York State Office of General Services (hereinafter “OGS” or “State”) with its principle place of business at the Corning Tower, Empire State Plaza, Albany, New York, 12242, acting pursuant to the authority granted under State Finance Law §163 and RMS COMPUTER CORPORATION (or “Contractor”) with offices at 1185 AVENUE OF THE AMERICAS, 36TH FLOOR, NEW YORK, NY 10036 are collectively referred to herein as “the Parties.”
