This AMENDED AND RESTATED JOINT SERVICES AGREEMENT is made and entered into as of October 1, 2005, among Cantor Fitzgerald, L.P., a Delaware limited partnership (‘‘CFLP’’), on behalf of itself and its direct and indirect, current and future, subsidiaries, other than eSpeed, Inc. and its direct and indirect, current and future, subsidiaries (the ‘‘Cantor Parties’’), on the one hand, and eSpeed, Inc., a Delaware corporation (‘‘eSpeed’’), on behalf of itself and its direct and indirect, current and future, subsidiaries (the ‘‘eSpeed Parties’’), on the other hand. All capitalized terms used in this Agreement and not otherwise defined shall have the meanings ascribed to such terms in Section 1 of this Agreement.
