These Terms and Conditions (“Terms”) are legally binding and are considered part of your Investment Advisory Agreement (“Agreement”) with Lockwood Advisors, Inc. (“Lockwood”). Among other things, these Terms describe the roles of Lockwood, Pershing LLC (“Pershing”), a Lockwood affiliate, your advisor, and other services providers, and provide a description of the various investment options that comprise the Managed360 Program. Each of Lockwood and Pershing is a wholly-owned subsidiary of The Bank of New York Mellon Corporation (“BNY Mellon”). These Terms also include important disclosures, authorizations and legal terms.
