This MASTER SWAP AGREEMENT (this “Master Agreement”) is entered into and dated as of this 1st day of January, 2008 (the “Effective Date”) and is by and between APOLLO RESOURCES INTERNATIONAL, INC., a Delaware corporation (“Apollo”) and Arizona LNG, LLC, a Nevada limited liability company (“Counterparty”) have entered and/or anticipate entering into one or more swap transactions (each a “Transaction”) that are or will be governed by this Master Agreement, which includes the schedule dated of even date herewith (the “Schedule”), and the documents and other confirming evidence (each a “Confirmation”) exchanged between the parties confirming those Transactions.

The Distributor and the Counterparty (the Parties) have entered and/or anticipate entering into one or more transactions (each a “Swap Transaction”) that are or will be governed by this Agreement, which includes Receipt/s, Invoice/s, Schedule/s, Confirmation/s and other relevant confirming evidence (each a “Confirmation”) confirming the exchange between the parties or otherwise effective for confirming or evidencing those Swap Transactions.
