This Partial Release of Development Agreement (“Release”) is entered into to be effective on May , 2018 (“Effective Date”) by and between the Town of Mammoth Lakes, a municipal corporation (“Town”), and CRE Mammoth Landco, LLC, a Delaware limited liability company (“CRE”), in Mammoth Lakes, Mono County, California, with reference to the following recitals:

WHEREAS, Marquette Galveston Investment, Ltd., a Texas limited partnership, ("Marquette") and the City of Galveston, Texas (the "City"), a Texas home rule municipal corporation, entered into a Development Agreement regarding the real estate development project known Preserve at West Beach dated the 27th day of November, 2007 (the "Development Agreement") recorded under Clerk's File No. 2007075370 in the Office of the County Clerk of Galveston County, Texas; and
