This portfolio grant agreement (the "Agreement") sets forth the terms of a portfolio grant (the "Award") awarded to you pursuant to the 2005 Incentive Compensation Plan, as the same may be amended from time to time (the "Plan") of Ameriprise Financial, Inc. (the "Company") in accordance with the terms of the Employee Benefits Agreement by and between American Express Company and the Company, dated as of , 2005 (the "EBA") relating to the assumption of outstanding portfolio grant awards made under the American Express Company 1998 Incentive Compensation Plan (the "1998 Plan") in connection with the Distribution (as defined in the EBA).
