QDM International Inc., a Florida corporation (the “Company”), is pleased to accept the offer you(the “Subscriber”), the Chief Executive Officer, President and Chairman of the board of directors of the Company, has made to subscribe for 6,000,000 shares of Series B preferred stock of the Company, US$0.0001 par value per share (the “Series B Shares”) in exchange for the cancellation of the Debt (as defined below). The terms on which the Company is willing to issue the Series B Shares to the Subscriber, and the Company and the Subscriber’s agreements regarding such Series B Shares, are as follows:
