SPRAGUE RESOURCES, SPRAGUE HOLDINGS and SPRAGUE MASSACHUSETTS are collectively referred to herein as the “Parties.”

THIS SECOND AMENDMENT (the “Amendment”) to the Terminal Operating Agreement is hereby made and entered into by and between Miami-Dade County (the “County”), a political subdivision of the State of Florida, and Terminal Link (Miami) LLC (the “Operator”), a Delaware limited liability company registered and authorized to do business in the State of Florida, through their respective duly authorized representatives (together, the County and Operator constitute the “Parties”). The Effective Date of this Agreement is November , 2018, which shall be the date on which the last Party executes the Amendment and no sooner than the date on which the Miami-Dade County Board of County Commissioners (the “BCC”) approves the Amendment and the County Mayor’s veto period expires or is waived.
