This UNSECURED LIMITED GUARANTY OF COLLECTION (this “Guaranty”), dated as of ___________, 2012 [to be dated and executed upon closing of the merger], is executed and delivered by Pacific Energy Development Corp., a Nevada corporation (the “Guarantor”) in favor of Centurion Credit Funding LLC, in its capacity as the Investor under the Purchase Agreement (as defined below) together with its successors, transferees and assigns, the “Investor”).
