Continuation of Rights and Obligations. Notwithstanding a resignation pursuant to Clause 13.1 (Resignation) or revocation pursuant to Clause 13.3 (Revocation), the rights and obligations of the Security Agent under the Transaction Documents shall continue until the appointment of the New Security Agent has become effective and the assets and rights have been assigned to it pursuant to Clause 14 (Transfer of Notes Collateral). The retiring Security Agent shall make available to the New Security Agent such documents and records and provide such assistance as the New Security Agent may reasonably request for the purposes of performing its functions as Security Agent. However, none of the provisions of this Clause 13 shall affect the right of the Security Agent to resign from its office for good cause (aus wichtigem Grund) with immediate effect hereunder. Upon the appointment of the New Security Agent, the retiring Security Agent shall be discharged from any further obligation in respect of the Transaction Documents but shall remain entitled to the benefit of Clause 11 (Right to Indemnification) and any Security Agency fee for the account of the retiring Security Agent shall be payable on that date.
