ABL Facilities definition

ABL Facilities means the asset-based revolving credit facilities under the ABL Credit Agreement.
ABL Facilities means the asset-based revolving credit facilities under the Credit Agreement dated as of September 25, 2007 by and among the Issuer, the lenders party thereto in their capacities as lenders thereunder and Bank of America, N.A., as Administrative Agent, including any guarantees, collateral documents, instruments and agreements executed in connection therewith, and any amendments, supplements, modifications, extensions, renewals, restatements, refundings or refinancings thereof and any indentures or credit facilities or commercial paper facilities with banks or other institutional lenders or investors that replace, refund or refinance any part of the loans, notes, other credit facilities or commitments thereunder, including any such replacement, refunding or refinancing facility or indenture that increases the amount borrowable thereunder or alters the maturity thereof (provided that such increase in borrowings is permitted under Section 4.09 hereof).
ABL Facilities means the North American ABL Facility and the European ABL Facility.

Examples of ABL Facilities in a sentence

  • Notwithstanding anything to the contrary contained in this Agreement, Indebtedness incurred pursuant to the ABL Facilities (and any Permitted Refinancing thereof) may only be incurred pursuant to Section 7.03(r).

  • At the time of the merger, as already discussed, the ABL Facilities contained an “accordion” feature, which entitled LBI to “upsize” the facilities by $600 million (the “Accordion”).

  • Each ABL Facilities Grantor agrees that it shall have no Deposit Accounts other than (a) Deposit Accounts in the Lockbox System, (b) Excluded Operating Accounts and (c) Local Collection Accounts, except during the period of 45 days following the Effective Date as contemplated by the next sentence.


More Definitions of ABL Facilities

ABL Facilities means, collectively, the credit facilities evidenced by the ABL-Cattle Credit Documents, the ABL-Grain Credit Documents and the ABL-Trade Credit Documents.
ABL Facilities means, collectively, the ABL DIP Facility and the Pre-Petition ABL Facility.

ABL Facilities means, with respect to the Company or any Restricted Subsidiary, one or more debt or commercial paper facilities (including related Guarantees) with banks, investment banks, insurance companies, mutual funds or other institutional lenders (including the ABL Credit Agreement) providing for revolving credit loans, term loans, receivables or inventory financing (including through the sale of receivables or inventory to institutional lenders or to special purpose, bankruptcy remote entities formed to borrow from institutional lenders
ABL Facilities means the credit facilities provided under the ABL Credit Agreement. “ABL Facilities Documents” means the ABL Credit Agreement and any other agreement, document or instrument evidencing any ABL Facilities or any Indebtedness thereunder or any obligations in respect thereof (including (i) any obligations in respect of Rate Contracts where the swap counterparty is the ABL Agent, any lender under the ABL Credit Agreement or an Affiliate of any of the foregoing (or was such a Person at the time of execution and delivery of the applicable Rate Contract) and (ii) any Bank Product Obligations where the Bank Product Provider is the ABL Agent, any lender under the ABL Credit Agreement or an Affiliate of any of the foregoing (or was such a Person at the time of execution and delivery of the applicable Bank Product Agreement)) or any Liens securing such Indebtedness and obligations (including any “Loan Documents” and “Security Documents”, in each case as defined in the ABL Credit Agreement), in each case, as amended, restated, modified, renewed, refunded, replaced in any manner (whether upon or after termination or otherwise) or refinanced (including by means of sales of debt securities to institutional investors) in whole or in part from time to time.
