The Severance Payments will commence no later than thirty (30) days after the Release becomes effective (such commencement or payment date being referred to as the “Severance Commencement Date”). Accelerated Options shall be determined by multiplying the number of options previously granted to Executive by a fraction the denominator of which is thirty six (36) and the numerator of which is the number of full calendar months that have elapsed from January 1, 2002 to the end of the last full month preceding such termination then deduct from such result the number of options that have vested prior to such termination. For example if the Agreement is terminated on July 1, 2003 and the number of options previously granted to Executive is 600,000, then the number of Accelerated Options shall equal 100,000 (300,000 minus 200,000 vested options equals 100,000).
