Accelerated Vesting definition

Accelerated Vesting means the immediate vesting of all unvested equity awards granted to Executive under the Plans. However, any Accelerated Vesting that occurs other than in the context of a Change in Control will apply to unvested (A) performance awards on a prorated basis through the termination of employment, based on actual results evaluated after the close of the applicable performance period and payable in a lump sum at the same time as performance awards are paid to executives of the Company generally and (B) full value equity awards (e.g., restricted stock, restricted stock units and phantom units) and appreciation equity awards (e.g., non-qualified stock options and stock appreciation rights) only to the extent that such awards that would have vested if Executive’s employment had continued during a period equal to the lesser of six months following termination of employment or the balance of the Term.

Accelerated Vesting means the immediate vesting of all unvested equity awards granted under the Plan but only to the extent that the award would have vested if employment had continued during a period equal to the lesser of (A) six months following termination of employment or (B) the balance of the Term.

More Definitions of Accelerated Vesting

Accelerated Vesting means the vesting of all unvested equity awards granted to Executive under the Plans such that (A) performance awards will become vested on a prorated basis through the termination of employment, based on actual results evaluated after the close of the applicable performance period and payable in a lump sum at the same time as performance awards are paid to executives of the Company generally and (B) full value equity awards (e.g., restricted stock, restricted stock units and phantom units) and appreciation equity awards (e.g., non-qualified stock options and stock appreciation rights) will vest only to the extent that such awards that would have vested if Executive’s employment had continued during a period equal to the lesser of six months following termination of employment or the balance of the Term.

Accelerated Vesting means (A) the Executive’s Stock Options and Annual Equity Awards that vest solely on a time basis would completely vest and (B) the Executive’s Stock Options and Annual Equity Awards that vest based on the achievement of performance goals shall remain outstanding and eligible to vest (without proration) according to actual achievement of the applicable performance targets.

Accelerated Vesting as used herein means: (i) the immediate vesting of a number of shares subject to such executive’s stock options with the Company, equal to the number of options that would normally vest over the applicable acceleration period, and (ii) the immediate vesting of a number of shares of restricted stock in the Company held by such executive, if any, equal to the number of shares of restricted stock, if any, that would normally vest over the applicable acceleration period.
