Acceleration Premium definition

Acceleration Premium shall be an amount calculated as follows:
Acceleration Premium means, with respect to any Securities on any applicable acceleration date, the present value at such acceleration date of all required and unpaid interest payments due on such Security through the Stated Maturity of the Securities (excluding accrued but unpaid interest to the acceleration date), computed using a discount rate equal to the relevant Acceleration Premium Treasury Rate as of such acceleration date plus 50 basis points, as calculated by the Company or its agent; the Trustee shall have no responsibility to calculate or verify the calculation of the Acceleration Premium.
Acceleration Premium has the meaning set forth in Section 11.02(c).

Examples of Acceleration Premium in a sentence

  • Upon such a declaration, such principal, interest and applicable premium, Acceleration Premium or redemption price shall be due and payable immediately.

  • Any Redemption Price Premium or Acceleration Premium, as applicable, payable pursuant to the above shall be presumed to be the liquidated damages sustained by each Holder as the result of the acceleration, and each of the Company and the Guarantors agrees that it is reasonable under the circumstances.

More Definitions of Acceleration Premium

Acceleration Premium means, in connection with any accelerated payment of any of the Securities pursuant to Article VI of this Indenture or the Securities, the aggregate present value as of the date of such accelerated payment of the amount of unpaid interest (exclusive of interest that has been accrued to the date of such accelerated payment, but inclusive of any interest that would have become payable on PIK Securities or on any increased principal amount of Securities as a result of the payment of PIK Interest if such accelerated payment had not been made) that would have been payable in respect of the principal amount of the Securities (including any PIK Securities or any increase in the principal amount of the Securities as a result of the payment of PIK Interest), then outstanding, with the present value determined by discounting, on a semi-annual basis, such interest at the Reinvestment Rate (determined on the third Business Day preceding the date such declaration of acceleration is made) from the respective dates on which such interest payments would have been payable if such accelerated payment had not been made.
Acceleration Premium means an amount equal to the greater of (a) one percent (1%) of the Principal Amount and (b) the amount equal to the remainder obtained by subtracting (x) the Principal Amount from (y) the present value as of the date of such acceleration of the remaining scheduled payments of principal and interest on this Bond (including the Principal Amount payable on the Maturity Date) determined by discounting such payments at the Discount Rate.
Acceleration Premium means an amount equal to the present value of all required payments of interest (calculated at the rate of interest in effect on the Prepayment Date) on the principal amount of the Loans that has become or is declared accelerated pursuant to Section 7 or otherwise, or in respect of which such claim in an Insolvency Proceeding has arisen, from the Prepayment Date through the Maturity Date (excluding accrued and unpaid interest to the Prepayment Date), which present value shall be calculated using a discount rate equal to the Treasury Rate plus 50 basis points; provided that, in no case shall the Acceleration Premium be less than zero.
Acceleration Premium means an amount of premium, rounded (if necessary) to two decimal places with 0.005 being rounded upwards, calculated by the Lender in accordance with the following formula: Acceleration Premium = (0.15 x n x Loan) Where:
Acceleration Premium shall refer to an amount equal to the greater of (i) three percent (3%) of the unpaid principal balance of the Loan on the date of acceleration, or (ii) that amount which is calculated as of the date of the acceleration as follows: (A) the Acceleration Treasury Yield (as defined below) is subtracted from 9.875%, and the difference (but not less than 0) is (B) divided by twelve, and the quotient thereof then (C) multiplied by the then outstanding balance of the Loan to determine the monthly payment differential, and (D) the present value of the series of monthly payment differentials for the number of whole and partial months from the prepayment date to the maturity date is determined using the Acceleration Treasury Yield as the discount rate and compounding monthly, and (E) the present values of such monthly payment differentials are added together. The term "Acceleration Treasury Yield" means the yield which would be available if the proceeds of the acceleration were invested on the date of the acceleration in a debt obligation of the United States Treasury (other than a Flower Bond) having a coupon interest rate and maturity most closely equivalent to that of the Loan, as determined by quotations published in The Wall Street Journal on the date five (5) business days before the acceleration. If the difference between 9.875% and the Acceleration Treasury Yield is less than 0, the Acceleration Premium shall equal three percent (3%) of the unpaid principal balance of the Loan.

Thus, as an example, and for the avoidance of doubt, if an Acceleration Date occurs, the amount payable on the Acceleration Date on all the Notes (including any Notes previously issued as PIK Notes) will consist of cash in an amount equal to the sum of (i) 100% of the aggregate principal amount of all the Notes (including the principal amount of all Notes previously issued as PIK Notes) plus (ii) all the accrued and unpaid interest on all the Notes (including on all the Notes previously issued as PIK Notes) at the full amount of Stated Interest (including both the cash interest and PIK Interest portions thereof) to, but excluding, the Acceleration Date plus (iii) the applicable Acceleration Premium on all the Notes (including any Notes previously issued as PIK Notes).
