Notwithstanding anything to the contrary in this Indenture or the Notes, it is understood and agreed that if the obligations under the Notes are accelerated as a result of the occurrence and continuance of any Event of Default (including as a result of the commencement of any proceeding under Bankruptcy Laws or by operation of law or otherwise), the Acceleration Premium will also be due and payable and shall constitute part of the obligations due under the Indenture and the Notes for all purposes herein.
The Acceleration Premium shall also be payable in the event the obligations under the Indenture and the Notes are satisfied or released by foreclosure (whether by power of judicial proceeding), deed in lieu of foreclosure or by any other means.
The Company will pay or cause to be paid all the principal of, the Fundamental Change Repurchase Price, Optional Repurchase Price and Redemption Price for, interest on, any Acceleration Premium for, and other amounts due with respect to, the Notes on the dates and in the manner set forth in this Indenture.
The Company acknowledges and agrees that the Target Return Repurchase Amount and the Acceleration Premium is not intended to act as a penalty or to punish the Company for any such redemption, prepayment, repayment, or other event or occurrence as a result of which such amount becomes due and payable, including in connection with the acceleration of the Notes.
If an Event of Default occurs, then the principal amount of, and all accrued and unpaid interest on, the Acceleration Premium for, and all other payment amounts owed with respect to, all of the Notes then outstanding may (and, in certain circumstances, will automatically) become due and payable in the manner, and subject to the terms, set forth in Article 7 of the Indenture.
