Account Mandate definition

Account Mandate means the authority you give us authorising the conduct of your Account in the form required by us;

Account Mandate means a FleetCo Account Mandate or an Issuer Account Mandate, as the context shall require.

• The Collection Account Bank shall be entitled to comply with or rely upon any certificate, consent, notice, direction or other communication which is or it believes in good faith to be given by the Loans Beneficiary pursuant to and in accordance with the terms of the relevant Account Mandate.

• Subject to Clause 11, if the terms of any such certificate, consent, notice, direction or communication conflict with the terms of the relevant Account Mandate, the terms of the relevant Account Mandate shall prevail.

• If it is determined at such time that such Issuer Accounts will be held with the Issuer Account Bank, then the Issuer shall deliver an Account Mandate to the Issuer Account Bank relating to each such Issuer Account in accordance with the Issuer's obligations under this Agreement, the Cash Management Agreement and the Deed of Charge.

• The Issuer Account Bank acknowledges that the Deposit Account Mandate, the Swap Collateral Cash Account Mandate and any other mandates delivered from time to time pursuant to the terms of this Agreement shall, notwithstanding anything to the contrary therein, be subject to the terms of the Deed of Charge and this Agreement and in the event of any conflict between the Deposit Account Mandate or the Swap Collateral Cash Account Mandate and this Agreement, the terms of this Agreement shall prevail.

• The Cash Manager shall, prior to seeking any amendments to any Account Mandate which would require the consent of the Security Trustee in accordance with this Clause 5.2 (Amendment or Revocation), confirm to the Issuer Account Bank whether the consent of the Security Trustee has been obtained.
