The term “Share Value” means, with respect to a given trading day, the closing price of a company’s common stock multiplied by the Accumulated Shares for such trading day.

For purposes of the preceding sentence, the Closing Average Share Value and the Opening Average Share Value shall mean the average of the closing price of a share of Common Stock multiplied by the Accumulated Shares for each trading day over the 20 trading day period preceding and including the first and the last day of the Performance Period, respectively.
Accumulated Shares shall mean the sum of one share and the accumulated partial shares, as of each trading day, that are the result of the assumption that all dividends issued during the Opening Average Period and the Performance Period are immediately reinvested in the Company’s Common Stock at the closing price on the ex-dividend date.
