Achievement Date definition

Achievement Date means, with respect to a Diligence Event, the corresponding date such Diligence Event is to be achieved as provided in Exhibit B attached hereto subject to modification pursuant to Section 3.3 below.
Achievement Date means with respect to a Diligence Event, the corresponding date such Diligence Event is to be achieved as provided in Section 5.8 below.
Achievement Date for a Goal means the date the Goal was achieved, as determined by the Administrator.

Examples of Achievement Date in a sentence

  • Twenty-Five Percent (25%) of the Shares shall vest on the second anniversary of the Achievement Date, provided the Participant remains employed by the Company in an executive position through such date.

  • Twenty-Five Percent (25%) of the Shares shall vest on the first anniversary of the Achievement Date (in the case of achievement of 100% of the Performance Criteria), provided the Recipient remains employed by the Company in an executive position through such date.

  • A material breach shall include but not be limited to the following: (i) failure to deliver to APL any payment at the time such payment is due under this Agreement, (ii) failure to meet or achieve a Diligence Milestone by the applicable Achievement Date (and any permitted extension), (iii) failure to possess and maintain required insurance coverage, and (iv) delivery of a false report to APL.

  • For the avoidance of doubt, the Executive shall not under any circumstance be entitled to receive more than one Incentive Payment and if the Executive becomes entitled to the Incentive Payment on or after the Incentive Achievement Date, the Executive shall immediately forfeit any right to payments under the PU Award Agreement.

  • In the case of Partial Performance, Twelve and One-Half Percent (12.5%) of the Shares shall vest on the first anniversary of the Partial Performance Achievement Date, provided the Participant remains employed by the Company in an executive position through such date.


More Definitions of Achievement Date

Achievement Date has the meaning set forth in Exhibit A.
Achievement Date means the first trading date occurring during the Performance Period in which a Company Stock Price Target is achieved. For the avoidance of doubt, (a) each Company Stock Price Target may only be achieved once during the Performance Period unless the Share Limit would apply and result in less than all of the Shares corresponding to a Company Stock Price Target becoming Eligible Shares, in which case, such Company Stock Price Target must be achieved again (subject to the Share Limit) for such remaining Shares to become Eligible Shares and (b) more than one Company Stock Price Target may be achieved on a particular date. Except in connection with an Acquisition as set forth in Section 4, no partial achievement will occur and no Shares will become Eligible Shares for achievement between two Company Stock Price Targets. For example, assume the Performance Period begins on January 2, 2019 and the Company Stock Price as of February 14, 2019 is $30.10. February 14, 2019 shall be an Achievement Date (assuming the Service Condition is satisfied as of that date) with respect to 2,640,000 Shares (comprising Company Stock Price Targets 1 through 3) but the Share Limit would result in only 1,320,000 Shares becoming Eligible Shares. Accordingly, the number of Shares subject to this Award that will become Eligible Shares on February 14, 2019 will equal 1,320,000 Shares. Such Eligible Shares would vest on the earlier of: (a) the next Vesting Date (May 15, 2019) subject to Participant satisfying the Service Condition through such date, or (b) an Acceleration Event. Assume instead that the Performance Period begins on January 2, 2019 and the Company Stock Price as of February 14, 2023 is $30.10. Assume for this purpose, no Company Stock Price Target was achieved prior to February 14, 2023. February 14, 2023 shall be an Achievement Date (assuming the Service Condition is satisfied as of that date) with respect to 2,640,000 Shares (comprising Company Stock Price Targets 1 through 3) and no Share Limit would apply because the Initial Period would have terminated. Accordingly, the number of Shares subject to this Award that will become Eligible Shares on February 14, 2023 will equal 2,640,000 Shares. Such Eligible Shares would vest on the earlier of: (a) the next Vesting Date (May 15, 2023) subject to Participant satisfying the Service Condition through such date, or (b) an Acceleration Event.
Achievement Date has the meaning set forth in Section 3.1(b).
Achievement Date means with respect to a Diligence Event, the corresponding date such Diligence Event is to be achieved as provided in Sections 7.8 and 7.9 below.
Achievement Date means the first Trading Day on or following an IPO with respect to the first Tranche (as defined below) or the first Trading Day occurring during the Performance Period in which a Company Stock Price Hurdle is achieved. For the avoidance of doubt, (i) each Company Stock Price Hurdle may only be achieved once during the Performance Period, and (ii) more than one Company Stock Price Hurdle may be achieved on a particular date. No partial achievement will occur and no Shares subject to the Option will vest for achievement between two Company Stock Price Hurdles.
Achievement Date means the first date occurring during the Performance Period on which the Company Stock Price (as calculated hereunder) achieves a Company Stock Price Target. Once the Company Stock Price Target has been achieved during the Performance Period, such Company Stock Price Target cannot be achieved again. For the avoidance of doubt, once a Company Stock Price Target has been achieved (as calculated hereunder), it does not need to be maintained. More than one Company Stock Price Target may be achieved on a particular date. Except in connection with a Change in Control as set forth herein, no partial achievement will occur and no RSUs will become Eligible RSUs for achievement between two Company Stock Price Targets.

For the avoidance of doubt, (a) each Company Stock Price Hurdle may only be achieved once during the Performance Period and (b) more than one Company Stock Price Hurdle may be achieved on a particular date.
