Acquisition Financing definition

Acquisition Financing has the meaning set forth in Section 5.5.
Acquisition Financing means financing from the Buyer’s Lender, in form and substance mutually agreed upon between Buyer and Buyer’s Lender, each in its sole discretion, in an amount equal to or greater than the cash payments required to be made by Buyer pursuant to Section 2.02(a).
Acquisition Financing means (a) the incurrence of Subordinated Debt and/or (b) the purchase by Persons of Equity Interests in Holdings or the issuance of, or contributions in respect of, Equity Interests (other than in respect of Disqualified Stock) of Holdings, in each case for the purpose of consummating any Permitted Acquisition, and in all cases subject to any other applicable requirements under this Agreement (including any limitations on Subordinated Debt provided for herein).

Examples of Acquisition Financing in a sentence

  • The proceeds from such Acquisition Financing constitute all of the financing required to be provided by Purchaser for the consummation of the transactions contemplated hereby.

  • As of the date hereof, the Financing Commitments are in full force and effect, have not been withdrawn or terminated or otherwise amended or modified in any respect, and, as of the date hereof, Purchaser has no reason to believe that the Financing Commitments will not lead to the Acquisition Financing contemplated thereby.

  • The Acquisition Financing shall have been obtained, and Buyer shall have been advanced funds by its lender in an amount sufficient to pay the amounts required pursuant to Section 2.02(a), below.

  • No Revolving Loans will be available to Company on the Closing Date to fund the Acquisition Financing Requirements.

More Definitions of Acquisition Financing

Acquisition Financing shall include the financing contemplated by the Financing Commitments as amended or modified in compliance with this Section 5.07 and (2) “Financing Commitments”, “Equity Commitment” or “Debt Commitment Letters” shall include such documents as amended, replaced, supplemented or otherwise modified in compliance with this Section 5.07.
Acquisition Financing means that certain debt facility or debt facilities closed in connection with the Company’s acquisition of HoldCo and certain Properties.
Acquisition Financing means any Financial Indebtedness that ranks pari passu or is subordinated to the obligations of the Issuer under the Terms and Conditions and is incurred for the purpose of financing acquisitions, provided that (i) the Financial Indebtedness has a final redemption date or, when applicable, early redemption dates or instalment dates which occur on or after the Final Maturity Date, or (ii) is incurred under a bridge facility with a bank that is discharged and cancelled within one (1) year from being incurred, provided that no repayments of principal may be made in respect of such bridge facility other than by way of refinancing the bridge facility with Financial Indebtedness which satisfies the requirements in item (i) above.
Acquisition Financing means the issuance and sale by Parent of convertible debentures, Parent Common Stock, and warrants to purchase Parent Common Stock intended to yield gross proceeds of approximately $4,700,000 to Parent, part of which proceeds will be used by Parent to advance to the Company funds to retire all of the Share Repurchase Notes and to provide the Company with approximately $1,000,000 in working capital.
Acquisition Financing has the meaning ascribed to it in Section 3.06.
Acquisition Financing means the financing contemplated by the Acquisition Financing Commitment Letters resulting in net proceeds equal to the Acquisition Financing Amount.
Acquisition Financing shall have the meaning specified in Section 5.15(a).
