Additional Collateral Delivery Date means the date on which the Administrative Agent has received a fully executed copy of (i) the Bank Facility Pledge Agreement, together with the original certificates representing or evidencing the Capital Stock of each of the Additional Pledged Entities owned by the Borrower, accompanied by stock powers (in form and substance satisfactory to the Administrative Agent and the Required Lenders in their sole and absolute discretion) duly executed in blank and (ii) the written opinions of Xxxxxxxx & Xxxxxxxx LLP, and internal and/or local counsel to the Borrower, as applicable, in each case addressed to the Administrative Agent, the L/C Issuer and the Lenders, which opinions shall be in form and substance satisfactory to the Administrative Agent and the Required Lenders in their sole and absolute discretion.
Additional Collateral Delivery Date means, with respect to each Additional Collateral Demand, the day on or before the fifth Business Day following the making of an Additional Collateral Demand or if one or more Additional Collateral Demands are outstanding and the aggregate amount of the Pledged Security required to be transferred to the Account (Fleet National Bank) exceeds $5,000,000, then with respect to all outstanding transfers of Pledged Securities, on the Business Day next following the Business Day when the aggregate amounts required to be transferred to such Account (Fleet National Bank) first exceeds $5,000,000.
Additional Collateral Delivery Date means with respect to each Additional Collateral Demand, the day on or before the second Business Day following the making of an Additional Collateral Demand.
