The Additional Counsel shall be approved by the Participating Investors who, in the aggregate, hold a Majority in Interest of the Common Stock then held by all Participating Investors.
Plaintiffs and Class Counsel further agree that, in any event, TCP will not be obligated to pay any award to Class Counsel and any and all Additional Counsel (defined below) in excess of $1,080,000 (total) for attorneys’ fees and costs.

The Settling Parties agree that Lead Class Counsel, ▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ LLP, no fewer than five (5) days following the Court’s award of Attorneys’ Fees and Expenses, may request permission from the Court to withdraw the amount awarded by the Court for Attorneys’ Fees and Expenses for any Class Counsel or Additional Counsel, or any portion thereof, from the Settlement Fund before the Effective Date.
