Additional Debentures definition

Additional Debentures means Debentures of any one or more series, other than the first series of Debentures, being the Initial Debentures, issued under this Indenture;

Examples of Additional Debentures in a sentence

  • MRCC, on behalf of the Agents, may exercise the Over-Allotment Option from time to time, in whole or in part, during the period thereof by delivering written notice to the Corporation (the “Over-Allotment Notice”) specifying the number of Additional Units or Additional Debentures and/or Additional Warrants which the Agents wish to purchase.

  • The applicable terms, conditions and provisions of this Agreement (including, without limitation, the provisions of Section 11 relating to closing deliveries unless otherwise agreed to by the Agents and the Corporation) will apply mutatis mutandis to the issuance of any Additional Units or Additional Debentures and/or Additional Warrants pursuant to any exercise of the Over-Allotment Option.

  • The Corporation may from time to time request the Trustee to certify and deliver Additional Debentures of any series by delivering to the Trustee the documents referred to below in this Section 2.5 whereupon the Trustee shall certify such Debentures and cause the same to be delivered in accordance with the Written Direction of the Corporation referred to below or pursuant to such procedures acceptable to the Trustee as may be specified from time to time by a Written Direction of the Corporation.

  • For greater certainty, the Agents will be paid the Agency Fee in respect of the sale of any Additional Units or Additional Debentures and/or Additional Warrants pursuant to the exercise of the Over-Allotment Option.

  • The Company may from time to time request the Trustee to certify and deliver Additional Debentures of any series by delivering to the Trustee the documents referred to below in this Section 2.6 whereupon the Trustee shall certify such Debentures and cause the same to be delivered in accordance with the Written Direction of the Company referred to below or pursuant to such procedures acceptable to the Trustee as may be specified from time to time by a Written Direction of the Company.


More Definitions of Additional Debentures

Additional Debentures means any debt securities issued pursuant to Section 5.11(c) of the Purchase Contract Agreement in respect of deferred Contract Adjustment Payments or pursuant to Section 2.1(g)(ii), and shall (a) bear interest at an annual rate equal to the then market rate of interest for similar instruments (not to exceed 10%), as determined by a nationally recognized investment banking firm selected by the Company, (b) rank pari passu with the Debentures, (c) provide for optional deferral on the same basis as the Debentures (d) be redeemable at the Company’s option at any time at their principal amount, plus accrued and unpaid interest thereon through their date of redemption and (e) be issued under the Indenture.
