More Definitions of Additional Guarantors

Additional Guarantors has the meaning given to such term in the definition of “Guarantor.” “Affiliate” means, with respect to any specified Person, (1) any other Person which, directly or indirectly, is in control of, is controlled by or is under common control with such specified Person or (2) any other Person who is a director or officer (a) of such specified Person, (b) of any subsidiary of such specified Person or (c) of any Person described in clause (1) above. For purposes of this definition, “control” of a Person means the power, direct or indirect, to direct or cause the direction of the management and policies of such Person, whether by contract or otherwise, and the terms “controlling” and “controlled” have meanings correlative to the foregoing and, for the avoidance of doubt, shall not apply to any financial institution or trust company that, as of the date of the filing of the ODB RJ, is a creditor of any ODB RJ Party and has received or will receive securities in connection with the ODB RJ.
