Additional Price has the meaning given in the Recital of this Agreement;
Additional Price. The Additional Price shall be an amount equal to the sum of the following: (a) the aggregate fair market value (as determined by the Holder of Call Class in its reasonable discretion) of the Class CE Certificates, the Class P Certificates and the Residual Certificates, but in no event less than the amount of any financing in respect of such Certificates, (b) any amounts due to the Certificate Insurer under the terms of the Insurance Agreement and (c) any amounts which the Master Servicer would be permitted to withdraw and retain from the Collection Account pursuant to Section 3.11 and any other amounts otherwise payable by the Trust Administrator to the Master Servicer from amounts on deposit in the Distribution Account pursuant to the terms of this Agreement.
