Additional Senior Subordinated Notes definition

Additional Senior Subordinated Notes means any Senior Subordinated Notes issued under the terms of the Senior Subordinated Note Indenture subsequent to the Closing Date.

Additional Senior Subordinated Notes means any additional senior subordinated notes (in the form of either a reopening of the Senior Subordinated Notes or an additional series of senior subordinated notes) which additional senior subordinated notes shall be equally and ratably secured with the Senior Subordinated Notes pursuant to the Intercreditor Agreement.

Additional Senior Subordinated Notes means any Senior Subordinated Notes (other than Initial Senior Subordinated Notes and Senior Subordinated Exchange Notes) issued under the Senior Subordinated Notes Indenture in accordance with Sections 2.02 and 4.10 thereof, as part of the same series as the Initial Senior Subordinated Notes or as an additional series.

More Definitions of Additional Senior Subordinated Notes

Additional Senior Subordinated Notes means the senior subordinated notes to be issued by the Borrower on or prior to the Effective Date with gross proceeds not exceeding $186,000,000.

Additional Senior Subordinated Notes means unsecured senior subordinated notes of the US Borrower (i) that are subordinated to the Loan Document Obligations (A) to the same extent as, or to a greater extent than, the Existing Senior Subordinated Notes are subordinated to the Loan Document Obligations or (B) on terms that are market terms on the date of issuance and reasonably satisfactory to the Administrative Agent, (ii) that do not require any scheduled payment of principal (including pursuant to a sinking fund obligation) or mandatory redemption or redemption at the option of the holders thereof (except for redemptions in respect of asset sales and changes in control on terms that are market terms on the date of issuance) prior to the date that is 91 days after the Term Loan Maturity Date or (unless otherwise provided in the applicable Incremental Term Loan Amendment), if such Indebtedness is incurred after the US Borrower has obtained any Incremental Term Loans or while any Commitments from Additional Lenders to make Incremental Term Loans remain in effect, 91 days after the maturity date for such Incremental Term Loans, unless all such Incremental Term Loans have been repaid in full, (iii) that contain payment blockage provisions that are (A) no less favorable to the Lenders than the payment blockage provisions of the Existing Senior Subordinated Notes or (B) on terms that are market terms on the date of issuance and reasonably satisfactory to the Administrative Agent and (iv) that otherwise contain terms and conditions (including the maturity thereof, the interest rate applicable thereto (provided that Additional Senior Subordinated Notes may bear interest at a rate or be issued at a discount that together result in a yield that is a market yield at the time of issuance thereof), amortization, defaults, voting rights, covenants and events of default) that are on terms that are market terms on the date of issuance.

Additional Senior Subordinated Notes means any senior subordinated notes issued by the Borrower after the Restatement Effective Date and the Indebtedness represented thereby; provided that (a) such senior subordinated notes (i) shall not provide for guarantors, obligors or security in addition to those which apply to the Senior Subordinated Notes, (ii) shall not have a maturity date that is earlier than the date that is 180 days after the Term Loan Maturity Date or provide for any amortization, sinking fund or other scheduled payments (other than regularly scheduled interest payments) prior to the date that is 180 days after the Term Loan Maturity Date and (iii) shall be subordinated to the Obligations on terms not less favorable to the Lenders than the terms in respect of the Senior Subordinated Notes and (b) all other terms (excluding interest rates and redemption premiums) of such senior subordinated notes shall not be materially less favorable to the Lenders than those existing with respect to the Senior Subordinated Notes.

Additional Senior Subordinated Notes means the additional senior subordinated notes issued pursuant to the Additional Senior Subordinated Notes Indenture, as amended, in an amount of at least $150,000,000 issued by the Company.

Additional Senior Subordinated Notes has the meaning assigned to such term in Section 7.01(c).

Additional Senior Subordinated Notes any notes issued by the Borrower on terms substantially similar (other than with regard to pricing) to those of the Senior Subordinated Notes after the Closing Date (and shall include any substantially identical senior subordinated notes of the Borrower in the same aggregate principal amount issued thereafter in exchange therefor pursuant to a registered exchange offer or shelf registration statement in accordance with any applicable indenture).
