The Company and the Manager each acknowledge that the Initial Technical Services Fee for the IPO Vessels represents the fair market value of providing the Technical Services for each IPO Vessel on August 8, 2005 and that the Initial Technical Services Fee for the Additional Vessels represents the fair market value of providing the Technical Services Fee for each Additional Vessel as of the date such Additional Vessel was acquired by the Company.
At or around each Upsize Trigger Date, the Agent shall circulate to each of the parties an amended Schedule 8 to reflect the increased Maximum Amount, which shall be calculated on the same basis as the initial Schedule 8, with a balloon payment of forty five per cent (45%), and amended Schedules 1 and 2 to reflect the amended Commitments and the Additional Vessels and Additional Borrowers.

If DSS acquires or orders any additional vessels during the term of this Agreement, CSM will have a right of first refusal, exercisable up to four (4) times, to provide the Technical Management Services, any such vessels for which the offer has been exercised shall be deemed Additional Vessels up to a total number of 29 Vessels under the terms of this Agreement.
