Examples of Adjusted Equity Value in a sentence
Any disagreements between Purchaser and Sellers concerning the Engineering Division's final Adjusted Equity Value as shown on the Closing ED Balance Sheet shall be resolved in accordance with 2.03(c) during the twenty (20) day period thereafter.
If the Adjusted Equity Value is greater than the Interim ED Balance Sheet value, the aggregate amount of Assumed Balance Sheet Liabilities assumed by Purchaser shall be increased by such difference.
Following the Closing Date, either the Buyer or the Seller Representative may seek to adjust the Closing Estimate pursuant to the procedures set forth in Exhibit A hereto (the provisions of which Exhibit A shall be as agreed upon in good faith by the Buyer, the Company and the Seller Representative promptly after the date hereof), and any such adjustment and corresponding adjustment, if any, to the Adjusted Equity Value and Purchase Price will be governed by such procedures set forth in such Exhibit A.
Any amounts paid into escrow pursuant to Section 6.9(b) hereof shall be available solely to settle any dispute relating to the determination of Adjusted Equity Value and shall not be available for satisfaction of any indemnification claims hereunder and any amount distributed from the Escrow Funds to Parent or the Surviving Entity in connection with such dispute shall not reduce or otherwise count against or toward the $9,000,000 limitation contained in the immediately preceding sentence.
The term of the new Lease shall begin on the date of the termination of this Lease and shall continue for the remainder of the term of this Lease (including any options to renew if the right thereto is exercised by such Leasehold Lender or its assignee).
