Adjusted Exercise Price definition

Adjusted Exercise Price means the price at which a holder may purchase the securities issuable upon exercise of Rights pursuant to the terms of Section 3.1(a)(ii) which, until adjustment thereof in accordance with the terms hereof, shall be equal to the Exercise Price multiplied by a fraction in which: (i) the numerator is the number of Common Shares per Right that may be purchased pursuant to Section 3.1(a)(ii); and (ii) the denominator is the number of Common Shares per Right that could have been purchased pursuant to Section 3.1(a) in the event that there had been sufficient authorized but unissued Common Shares to permit each holder of a Right (other than an Acquiring Person or a transferee of the kind described in Section 3.1(b)(ii)) to purchase the number of Common Shares to which they would have been entitled under Section 3.1(a)(i);
Adjusted Exercise Price shall have the meaning specified in Section 3.2 hereof.
Adjusted Exercise Price has the meaning set forth in Section 2.1(e).

Examples of Adjusted Exercise Price in a sentence

  • If, at any time while this Warrant remains outstanding, the Company effectuates a stock split or reverse stock split of the Common Stock or issues a dividend on the Common Stock consisting of shares of Common Stock, the Exercise Price, Adjusted Exercise Price and any other amounts calculated as contemplated hereby shall be equitably adjusted to reflect such action.

  • For the avoidance of doubt, the Adjusted Exercise Price, if any, shall not apply to any exercise of this Warrant prior to such Adjustment Date.

  • The exercise price of each Eligible Option that is amended pursuant to the Offer will be increased to the Adjusted Exercise Price determined for that option.

  • In addition, except for the Adjusted Exercise Price, the other terms and provisions of each Amended Option will be identical to the terms and provisions in effect for each such Eligible Option immediately before the amendment to the exercise price.

  • If on May 2, 2020 (the “Adjustment Date”), the Exercise Price then in effect exceeds the greater of (x) $1.50 (as adjusted for share splits, share dividends, share combinations, recapitalizations and similar events) and (y) the Market Price as of the Adjustment Date (the “Adjusted Exercise Price”), the Exercise Price hereunder shall be reset to the Adjusted Exercise Price as of the Adjustment Date.


More Definitions of Adjusted Exercise Price

Adjusted Exercise Price means, with respect to each Silvermex Warrant that is exchanged for a Replacement Warrant pursuant to Section 2.3(b), the exercise price of such Silvermex Warrant prior to the Effective Time divided by the Exchange Ratio;
Adjusted Exercise Price means the Exercise Price payable per Common Share, when adjusted pursuant to this Article IV.
