Except as otherwise provided in this Section 2, that number of Performance Stock Units equal to the Measurement Period Target Number of Performance Stock Units (as may have been modified by this Agreement (including, without limitation, Section 2(e))) for a Measurement Period multiplied by the Target Adjustment Percentage (as defined in Exhibit A) attained for the Measurement Period shall become earned as of the last day of the applicable Measurement Period.
As soon as administratively feasible after the end of a Measurement Period, unless the Performance Stock Units vested previously under Section 2(e)(i), (e)(ii) or (f)(i), the Committee shall determine whether or not, and to what extent, the Performance Criteria have been achieved and the Target Adjustment Percentage for the Measurement Period.
If the Committee determines on the applicable Determination Date (as defined in Section 3(a)) that the Performance Criteria have not been achieved for the applicable Measurement Period and/or the Target Adjustment Percentage is 0% for the Measurement Period, all Performance Stock Units that may be earned for such Measurement Period shall immediately be forfeited and canceled.
If the Market Rate and escalations are not determined by the first day of the Extension Term, then Tenant shall pay Landlord Base Rent in an amount equal to the Base Rent in effect immediately prior to the Extension Term and increased by the Rent Adjustment Percentage until such determination is made.
