Amdocs and Architel shall each have filed all notices and information (if any) required under Part IX of the Competition Act (Canada) and the applicable waiting periods and any extensions thereof shall have expired or the parties shall have received an Advance Ruling Certificate pursuant to Section 102 of the Competition Act (Canada) setting out that the Director under such Act is satisfied he would not have sufficient grounds on which to apply for an order in respect of the Arrangement.
As soon as reasonably practicable after the date of this Agreement, the Parties shall each make a premerger notification filing in respect of the transactions contemplated by this Agreement with the Commissioner in accordance with Part IX of the Competition Act unless mutually agreed otherwise, and Pan American shall submit a request to the Commissioner for an Advance Ruling Certificate and/or a No Action Letter in respect of the transactions contemplated by this Agreement.
In any event, no later than 15 business days after the date of execution of this Agreement, the Parties shall prepare and file their respective notification and report form pursuant to the HSR Act and Hecla shall file a request to the Commissioner for an Advance Ruling Certificate or, in the alternative, a No-Action Letter and an application for review under Part IV of the Investment Canada Act.
Without limiting the generality of the foregoing, Purchaser will as soon as practicable, and in any event within five (5) Business Days after the date of this Agreement, prepare and provide submissions to the Commissioner of Competition including an application for an Advance Ruling Certificate, and will promptly furnish any additional information requested under the Competition Act.
In any event, no later than 15 Business Days after the date of execution of this Agreement, the Offeror shall prepare and file a request to the Commissioner for an Advance Ruling Certificate or, in the alternative, a No-Action Letter.
