Affected Assets definition

Affected Assets means, collectively, the Receivables and the Related Security, Collections and Proceeds relating thereto.

Affected Assets means, collectively, (a) the Receivables, (b) the Related Security, (c) all rights and remedies of the SPV under the First Tier Agreement, together with all financing statements filed by the SPV against Arrow in connection therewith, (d) all Blocked Accounts and all funds and investments therein and all Blocked Account Agreements, and (e) all proceeds of the foregoing.

Affected Assets means, collectively, (a) the Receivables, (b) the Related Security, (c) with respect to any Receivable, all rights and remedies of the SPV under the First Tier Agreement, together with all financing statements filed by the SPV against the Originators in connection therewith, (d) the Collection Account and all Blocked Accounts and all funds and investments therein and all of the SPV’s rights in the Blocked Account Agreements and (e) all proceeds of the foregoing.

Examples of Affected Assets in a sentence

• Each of the SPV and the Master Servicer shall furnish to the Administrative Agent from time to time such information with respect to the Affected Assets as the Administrative Agent may reasonably request, including listings identifying the Obligor and the Unpaid Balance for each Receivable.

• At any time when a Termination Event or Potential Termination Event (which Potential Termination Event is not capable of being cured) exists, the Administrative Agent may notify any Obligor of its interest in the Receivables and the other Affected Assets.

• The Funding Agents’ right, title and interest in and to the Receivables and all other Affected Assets hereunder is herein called the “Asset Interest”.

• In the case of the SPV, it shall have given reasonably equivalent value to Arrow in consideration for the transfer to it of the Affected Assets from Arrow, and each such transfer shall not have been made for or on account of an antecedent debt owed by Arrow to it and no such transfer is or may be voidable under any section of the Bankruptcy Code.

• Subject to the terms and conditions hereof, the Administrative Agent on behalf of the Funding Agents (on behalf of their related Conduit Investors and/or the Related Alternate Investors as applicable) hereby purchases and accepts from the SPV an undivided percentage ownership interest in the Receivables and all other Affected Assets sold, assigned and transferred pursuant to subsection (a).

More Definitions of Affected Assets

Affected Assets means, with respect to (i) a Mandatory Redemption Event that is an Asset Event where “Partial Affected Assets” is specified as applicable, the Initial Assets subject to such Asset Event and (ii) a Mandatory Redemption Event that is an Asset Event where “Partial Affected Assets” is not specified as applicable, or any other Mandatory Redemption Event, or any Event of Default or any other event or circumstance, all Initial Assets.

Affected Assets has the meaning specified in Section 10.1(a).

Affected Assets means, with respect to any Mandatory Redemption Event in accordance with Base Condition 6.2(a), (i) where “Partial Affected Assets” is specified as applicable, the Initial Assets subject to the Asset Event or other Mandatory Redemption Event, as applicable and (ii) otherwise, all Initial Assets.

Affected Assets has the meaning given to it in Section 5.07(a)(i).

Affected Assets means, with respect to any Mandatory Redemption in accordance with Base Condition 5.2(a), for the purpose of determining the Mandatory Redemption Amount in Additional Condition 4(c) and/or the Method of Disposal provisions in Additional Condition 7(e), the Assets subject to the Asset Event or other Mandatory Redemption Event.

Affected Assets has the meaning set forth in Section 7.4.

Affected Assets means each and every Receivable, Related Account and Related Security, if any, with respect thereto, each and every Collection, with respect thereto, and proceeds of any of the foregoing.
