Affiliate Payment definition

Affiliate Payment means any Revenue Share, Hybrid Payments and/or CPA Payments;

Affiliate Payment means, with respect to a Qualifying Project, an amount payable to (i) Issuer, LGEI, Distributor or any of their respective Affiliates, (ii) any officer, director or management of Issuer, LGEI or Distributor or any entity in which officer, director or management of Issuer, LGEI or Distributor has any interest or (iii) any officer, director or management of any affiliate of Issuer, LGEI or Distributor or any entity in which any officer, director or management of any affiliate of Issuer, LGEI or Distributor has any interest, excluding in each case payments expressly permitted hereunder; provided, however, that each Executive Producer Fee shall not be considered an Affiliate Payment.

Affiliate Payment means any compensation paid by the Partnership to any direct or indirect Affiliate of the Partnership or to any of its Partners, including any amount paid in the form of salary, bonus, fees or otherwise to any Partner or Affiliate of any Partners, but excluding (i) any distributions pursuant to Article V of this Agreement and (ii) any amounts paid for the reimbursement of reasonable and actual costs and expenses incurred on behalf of the Partnership, including, without limitation, the reimbursement for secretarial, accounting, professional expenses and any payments to cover overhead costs such as rent, office equipment or otherwise, and travel, entertainment and similar expenses.

Examples of Affiliate Payment in a sentence

• Inland will not declare or make, without the Requisite Holders' prior written consent, which the Requisite Holders may withhold in their sole and absolute discretion, any Affiliate Payment, except Permitted Distributions, and reimbursements of expenses in connection with the administration of Inland.

• If Hantec Markets cannot clearly identify the Affiliate Tracking ID or it has reasonable grounds to believe that this is not a genuine Affiliate Tracking ID or the Affiliate deliberately masked any URL information, the Company retains the right to refuse the Affiliate Payment related to this tracking ID and to terminate the agreement with immediate effect by a simple notice.

• The Borrower shall not, and shall not suffer or permit any Subsidiary to, make any payments (scheduled or otherwise) of interest or principal on the AMD Asset Note, the AMD Cash Note or the Fujitsu Cash Note other than the Permitted Affiliate Payment.

• If ATFX cannot clearly identify the Affiliate Tracking ID or it has reasonable grounds to believe that this is not a genuine Affiliate Tracking ID or the Affiliate deliberately masked any URL information, the Company retains the right to refuse the Affiliate Payment related to this tracking ID and to terminate the Affiliate Agreement with immediate effect.

• Issuer will not declare or -------------------------------- make, without the Requisite Holders' prior written consent, which the Requisite Holders may withhold in their sole and absolute discretion, any Affiliate Payment, except Permitted Distributions, and reimbursements of expenses in connection with the administration of Inland.

Affiliate Payment has the meaning set forth in Section 9.1

Affiliate Payment means a payment of Commissions from cleverbridge on behalf of Client to Affiliate further described in this Agreement.
