Affiliated Entities definition

Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.
Affiliated Entities means all of the Company’s direct and indirect subsidiaries and affiliated companies. For purposes of this Agreement, a company is affiliated with the Company if it controls, is controlled by or is under common control with the Company.
Affiliated Entities has the meaning set forth in Section 1(a).

Examples of Affiliated Entities in a sentence

  • Further arrangements with Affiliated Entities may be negotiated in separate agreements.

  • For the avoidance of any doubt, the Disclosing Party and any of the Beneficiaries (as defined under the Services Agreement) and the Affiliated Entities (as defined under the Services Agreement) shall have the right to publish any of the documents, information or data provided by the Contractor to the Disclosing Party or the Company during the provision of the CEF Audit Services.

  • Access Rights may be refused to Affiliated Entities if such granting is contrary to the legitimate interests of the Party which owns the Background or the Results.

More Definitions of Affiliated Entities

Affiliated Entities means the limited and general partnerships, corporations or other entities controlling, controlled by or under common control with the Partnership.

Affiliated Entities means (a) in relation to a fund (the “first fund”), (i) a fund which is managed or advised by the same investment manager or investment adviser as the first fund or, (ii) if it is managed by a different investment manager or investment adviser, a fund whose investment manager or investment adviser is an associate of the investment manager or investment adviser of the first fund or which is a co-investment vehicle under common control with the first fund; and (b) in relation to any other person, a fund which is managed or advised by such person or any of its associates;
Affiliated Entities means, with respect to any Holder, means (i) any Affiliate of such Holder, and (ii) any fund that is administered or managed by such Holder, any Affiliate of such Holder or any entity or an Affiliate of an entity that administers or manages such Holder.
Affiliated Entities means all companies listed on Exhibit 8.1 to the Form 20-F for the fiscal year ended September 30, 2023 filed with the SEC on February 15, 2024, and any other person (other than a natural person) (i) that is directly or indirectly controlled by the Issuer or (ii) whose assets, or portions thereof, are consolidated with the net earnings of the Issuer and are recorded on the books of the Issuer for financial reporting purposes in accordance with U.S. GAAP.
