Aggregate Common Stock Consideration definition

Aggregate Common Stock Consideration means the product of the Merger Consideration and the number of Shares issued and outstanding immediately prior to the Effective Time (other than Shares to be cancelled in accordance with Section 2.01(a)(ii) and other than Dissenting Shares).

Aggregate Common Stock Consideration means the product of the Merger Consideration and the number of Shares issued and outstanding immediately prior to the Effective Time (other than Excluded Shares).

Aggregate Common Stock Consideration has the meaning given to that term in Section 2.02(a) of this Agreement.

The quotient, 0.5608, is the Exchange Ratio.
