The Company shall not, and shall cause its subsidiaries not to, incur, create, assume, guarantee, or otherwise become liable for any Indebtedness for borrowed money or issue any debt securities, other than the Notes issued pursuant to this Agreement, for so long as any portion of the Aggregate Principal Amount remains outstanding.
The Company shall not, and shall cause its subsidiaries not to, grant, create, incur, assume, or permit to exist any new lien, pledge, mortgage, security interest, or other encumbrance on any of its assets or properties, whether now owned or hereafter acquired, for so long as any portion of the Aggregate Principal Amount remains outstanding.
In either case, the Company shall ensure that any outstanding Aggregate Principal Amount is paid in full from the proceeds of such Future Offering before any other use of such proceeds.
Any term of this Agreement or the Note may be amended and the observance of any term of this Agreement or the Note may be waived (either generally or in a particular instance and either retroactively or prospectively) with the written consent of the Company and the holders of a majority of the Aggregate Principal Amount.
At any time while any portion of the Aggregate Principal Amount remains outstanding, the Investor may, at its sole option, convert any or all of the Investor’s outstanding Principal Amount into securities offered in any Future Offering on the same terms as other investors in such offering, or require full repayment of any or all of the outstanding Principal Amount in cash.
