Aggregate Share Amount definition

Aggregate Share Amount means a number of shares of Parent Common Stock determined by dividing (a) the excess of the Purchase Price over the sum of (i) the Aggregate Cash Amount and (ii) the Transaction Bonus Pool by (b) the Reference Price.

Aggregate Share Amount means (a) if the Purchaser Common Stock Price is at least $89.03 and no more than $113.03, the Aggregate Share Amount shall the be the number of shares of Purchaser Common Stock equal to the quotient (rounded up to the nearest whole share) obtained by dividing (i) the Merger Consideration by (ii) the Purchaser Common Stock Price; (b) if the Purchaser Common Stock Price is less than $89.03, the Aggregate Share Amount shall be the number of shares of Purchaser Common Stock equal to the quotient (rounded up to the nearest whole share) obtained by dividing (i) the Merger Consideration by (ii) $89.03; and (c) if the Purchaser Common Stock Price is more than $113.03, the Aggregate Share Amount shall be the number of shares of Purchaser Common Stock equal to the quotient (rounded up to the nearest whole share) obtained by dividing (i) the Merger Consideration by (ii) $113.03.

Aggregate Share Amount shall be determined as follows: (A) If the volume weighted average closing price of a share of common stock, par value $0.01 per share, of Acquiror (“Acquiror Common Stock”) as reported on the NASDAQ Global Market for each of the ten (10) trading days ending on the second (2nd) trading day preceding the Closing Date (the “Acquiror Common Stock Price”) is at least $15.83 and no more than $21.41, the Aggregate Share Amount shall be the number of shares of Acquiror Common Stock equal to the quotient (rounded up to the nearest whole share) obtained by dividing (I) the Merger Consideration by (II) the Acquiror Common Stock Price; (B) If the Acquiror Common Stock Price is less than $15.83, the Aggregate Share Amount shall be 1,825,648 shares of Acquiror Common Stock (the Merger Consideration divided by $15.83); and (C) If the Acquiror Common Stock Price is greater than $21.41, the Aggregate Share Amount shall be 1,349,837 shares of Acquiror Common Stock (the Merger Consideration divided by $21.41).

Examples of Aggregate Share Amount in a sentence

• Each Holder shall be entitled to a portion of the Maximum Aggregate Share Amount equal to the quotient obtained by dividing (x) such the number of shares of Preferred Stock initially purchased by such Holder by (y) the aggregate number of shares purchased by all Holders.

• Notwithstanding anything herein to the contrary, the Corporation shall not issue shares of Common Stock in payment of dividends, and shall be required to pay dividends in cash only, to the extent such shares, when added to the aggregate number of shares of Common Stock previously issued to all Holders as payment of dividends pursuant to this Section 3(a) would exceed 7,607,360 shares of Common Stock (the "Maximum Aggregate Share Amount"), unless the Corporation first obtains Shareholder Approval.

• Each holder of shares of Series A Preferred Stock shall be entitled to a portion of the Maximum Aggregate Share Amount in proportion to its Maximum Conversion Factor.
