Agreed Scope of Work definition

Agreed Scope of Work means the detailed programme of research to implement the Project, and as amended from time to time by decision of the Project Steering Committee of the OWA Hi-VAS (Phase 1) Agreement, with its original version set out in Schedule 2 to the Award Letter;
Agreed Scope of Work means work, which, in the opinion of the Steering Committee’s Counsel, has been undertaken in connection with or for the purposes of a consensual resolution relating to the Notes (whether or not such work also benefits the holders of the U.S.$700,000,000 6.875% notes due 2020 issued by EA Partners I B.V. (ISIN:XS1293573397) (the “EA Partners I Notes”)) and, so far as the Steering Committee’s Counsel is aware, is intended by the Steering Committee to be generally in the interests of Noteholders as a class and as a whole; (z) U.S.$30,000 (plus out-of-pocket expenses) per calendar month from and including the Start Date to and including the End Date to the Steering Committee’s Financial Adviser for the purposes of meeting its documented and properly incurred fees and expenses in accordance with the scope of work agreed from time-to-time with the Steering Committee. T he Steering Committee’s Financial Adviser’s out-of-pocket expenses will be capped at U.S.$15,000 per calendar month from and including the Start Date to and including the End Date. If out-of-pocket expenses are less than U.S.$15,000 in any month, then any unused amount shall carry-forward to subsequent months and may be utilised to meet the SteeringCommittee’s Financial Adviser’s out-of-pocket expenses accordingly. Once all such fees and expenses have been exhausted, a further approval of the Noteholders (in the form of a new Extraordinary Resolution) will need to be sought in connection with any fees and expenses of the Steering Committee’s Financial Adviser incurred after the End Date. Such fees and expenses will only be payable under this limb of the priorities of payment if the Steering Committee’s Financial Adviser has confirmed to the Issuer that the fees and expenses have been properly incurred in accordance with the Financial Adviser’s Agreed Scope of Work, where “Financial Adviser’s Agreed Scope of Work” shall mean work, which, in the opinionof the Steering Committee’s Financial Adviser, has been undertaken in connection with or for the purposes of a consensual resolution relating to the Notes (whether or not such work also benefits the holders of the EA Partners I Notes) and, so far as the Steering Committee’s Financial Adviser is aware, is intended by the Steering Committee to be generally in the interests of Noteholders as a class and as a whole; If the Start Date is not the first day of a calendar month, the capped amounts payable under (x), (y) and (z) above in respect of the period...

For the sake of clarity, the Agreed and Finalised Project Plan” refers to the version of the Project Plan submitted by the contractor after receiving the letter of Award and the same approved by WTL. The project plan may be changed/ modified during the course of the project. Should the Project Plan conflict with the provisions of the Contract in any way, the relevant provisions of the Contract, including any amendments, shall prevail.

  • Cost of work , in table above, shall mean the agreement amount of the work.

  • Project Scope means the description or activity of work to be accomplished on the project.

  • Programme of work means the Programme of work submitted by the contractor and approved by the Engineer-in-charge and includes an amendment thereto made from time to time and approved by the Engineer-in-charge;
