Agreement to Take Actions. Each party to this Agreement shall execute and deliver such documents, certificates, agreements and other instruments, and shall take all other actions, as may be reasonably necessary or desirable in order to perform his or its obligations under this Agreement.
Agreement to Take Actions. Each party hereto shall perform its covenants and agreements promptly and diligently and shall not take any action or omit to take any action which might adversely affect its ability to consummate the transactions contemplated by this Agreement and shall execute and deliver such documents, certificates, agreements and other writings and take such other actions as may be necessary or desirable in order expeditiously to consummate such transactions.
