AIFM Agreement definition

AIFM Agreement means any alternative investment fund management agreement made between the ICAV and the AIFM in relation to the appointment and duties of the AIFM as alternative investment fund manager as may be amended from time to time subject to the requirements of the Central Bank.

AIFM Agreement means the AIFM Agreement between the ICAV and the AIFM, as it may be amended or restated from time to time.

AIFM Agreement means any agreement for the time being subsisting between the ICAV and the AIFM relating to the appointment and duties of the AIFM.

• The AIFM Agreement will terminate if the Central Bank determines to replace the AIFM with another alternative investment fund manager.

• Under the terms of the AIFM Agreement, the Directors may entrust to and confer upon the AIFM so appointed any of the relevant powers, duties, discretions and/or functions exercisable by the Directors, upon such terms and conditions including the right to remuneration payable by the ICAV and with such powers of delegation and such restrictions as they think fit either collaterally with or to the exclusion of their powers.

AIFM Agreement means the agreement dated 17 July 2014, as amended and

AIFM Agreement means the alternative investment fund management agreement dated 9 May 2017 and effective as of 00:01 on 10 May 2017 as amended by an amendment agreement dated 2 November 2017 and each made between the ICAV and the AIFM. AIFM Agreement means the master AIFM Agreement between the Company, the Principal Manager and MAMC as described in section 16 of Appendix 2 to this Prospectus and the agreements from time to time in effect relating to each Class of Shares substantially on the terms of that master agreement.
