Within 30 days after the Amendment Closing Date, the Borrower shall provide the Administrative Agent with a copy of the final approval of the CME, with respect to which preliminary approval was received and delivered on or before the Amendment Closing Date pursuant to Section 3.1(d).
Before and after giving effect to the transactions contemplated hereby to occur on the Second Amendment Closing Date, no Default or Event of Default shall have occurred and be continuing on the Second Amendment Closing Date.
