Amounts or Claims means losses, liabilities, costs, fees, claims, actions, demands or expenses;
Amounts or Claims are losses, liabilities, costs, claims, actions, demands or expenses and “Agent/Delegate Liabilities” are Amounts or Claims which the Trustee is or would be obliged to pay or reimburse to any of its agents or delegates appointed pursuant to this Trust Deed. The Company shall not be required to reimburse any expense or indemnify against any loss or liability incurred by the Trustee, Registrar, Paying Agent, Transfer Agent or Conversion Agent or any successor Trustee, Registrar, Paying Agent or Conversion Agent through its own gross negligence or willful misconduct. To secure the Company’s payment obligations in this Section 7.6, the Trustee shall have a Lien with priority over the Bonds on all money or property held or collected by the Trustee, except that held in trust to pay principal and Default Interest on particular Bonds. Such Lien shall survive the satisfaction and discharge of this Indenture.

  • AWR Claim means any complaint or claim to a tribunal or court made by or on behalf of the Agency Worker against the Hirer and/or the Employment Business for any breach of the AWR;

  • DIP Claims means, collectively, the DIP ABL Claims and the DIP Term Loan Claims.

  • Privacy Obligations means all (a) Privacy Laws and (b) internal and external published policies and procedures, binding industry standards, and restrictions and requirements contained in any Contract to which the Company or any Company Subsidiary is bound, in each case under this clause (b), relating to privacy, data security, marketing or the receipt, collection, compilation, use, storage, sharing, safeguarding, security, disposal, destruction, disclosure, transfer, or other processing of Personally Identifiable Information.
