Annual Performance Period definition

Annual Performance Period see Section 2.2(b).
Annual Performance Period means each period designated in accordance with any annual bonus arrangement or Plan (a “Bonus Plan”) that is based on performance and approved by the Board or any committee of the Board, or in the absence of any Bonus Plan or any such designated period of time, each calendar year.
Annual Performance Period means, as applicable (i) the period from the Grant Date to December 31, 2018 (the “First Performance Period”), (ii) the period from January 1, 2019 to December 31, 2019 (the “Second Performance Period”), and (iii) the period from January 1, 2020 to December 31, 2020 (the “Third Performance Period”).

Examples of Annual Performance Period in a sentence

  • The Annual Performance PSUs shall be eligible to vest based on both (a) achievement of Company performance goals with respect to each Annual Performance Period, as established by the Board on an annual basis following the commencement of each such Annual Performance Period (such goals with respect to an Annual Performance Period, the “Annual PSU Goals”), and (b) Participant’s continued employment through the Vesting Date.

  • The Annual PSU Goals for the Annual Performance Period ending December 31, 2027 (pursuant to which up to 30,602 of the Annual Performance PSUs, at target, are eligible to vest) will be established by the Board in its discretion within a reasonable period of time following the commencement of the 2027 Annual Performance Period and communicated to the Participant as promptly as reasonably practicable thereafter.

  • The aggregate number of shares of Common Stock earned relating to each Annual Performance Period will vest on the Vesting Date.

  • The Annual PSU Goals for the Annual Performance Period ending December 31, 2026 (pursuant to which up to 30,602 of the Annual Performance PSUs, at target, are eligible to vest) will be established by the Board in its discretion within a reasonable period of time following the commencement of the 2026 Annual Performance Period and communicated to the Participant as promptly as reasonably practicable thereafter.

  • The Annual PSU Goals for the Annual Performance Period ending December 31, 2026 (pursuant to which up to 30,602 of the Annual Performance PSUs, at target) are eligible to vest) will be established by the Board in its discretion within a reasonable period of time following the commencement of the 2026 Annual Performance Period and communicated to the Participant as promptly as reasonably practicable thereafter.


More Definitions of Annual Performance Period

Annual Performance Period means each period of time designated in accordance with any annual bonus arrangement (a "Bonus Plan") which is based upon performance and approved by the Board or any committee of the Board, or in the absence of any Bonus Plan or any such designated period of time, each calendar year. The Annual Bonus (i) shall be not less than the Target Annual Bonus determined as of the Effective Date (which Target Annual Bonus shall equal Base Salary multiplied by a percentage which is equal to the highest percentage that any annual bonus which could be awarded upon achievement of target performance goals during the 12-month period immediately preceding the Effective Date represents as a percentage of annual salary at that time), (ii) the performance goals under the Bonus Plan shall not be materially more difficult to achieve than the performance goals in the Bonus Plan (or designated by the Board) in effect during the Annual Performance Period immediately before the Effective Date and (iii) the Maximum Annual Bonus shall not be less than the maximum bonus achievable under the Bonus Plan (or designated by the Board) during the Annual Performance Period ended immediately before the Effective Date (or if higher, the Maximum Annual Bonus for the Annual Performance Period that commenced immediately before the Effective Date).
Annual Performance Period means the calendar year or any other period of time not greater than 12 months specifically designated as the applicable annual performance period in accordance with any annual bonus arrangement applicable to Executive.
Annual Performance Period means each fiscal year ending December 31, 2025, 2026 and 2027.
Annual Performance Period means each of the three calendar years 2009, 2010 and 2011;
Annual Performance Period means each of the First Annual Performance Period, the Second Annual Performance Period, the Third Annual Performance Period and the Fourth Annual Performance Period.
Annual Performance Period means each successive Plan Year (commencing with the 2015 Plan Year).
Annual Performance Period means the calendar year during which Bank performance is measured to determine the amount of the Annual Award for a Participant.
