Annual Threshold Amount definition

Annual Threshold Amount means, with respect to a four-Quarter period referenced in clause (a)(i) of the definition of Subordination Period, an amount that is equal to the sum of the Minimum Quarterly Distribution on the Subject Interests for each Quarter during such period.
Annual Threshold Amount means, for purposes of Section 2.6, the following amount for each Earnout Year as set forth below: 2015 through 2019 $14,000,000 2020 through 2024 $15,000,000 2025 through 2028 $16,000,000 Notwithstanding the foregoing, for the 2015 Earnout Year, the Annual Threshold Amount shall be the amount obtained by multiplying $14,000,000 by a fraction, the numerator of which is the number of days left in calendar year 2015 commencing on the first day after the Closing Date and the denominator of which is three hundred sixty-five (365).”
Annual Threshold Amount means, for purposes of Section 2.6, the following amount for each Earnout Year as set forth below:

Annual Threshold Amount set forth in Section 1.1 is hereby deleted in its entirety and replaced with the following:
Annual Threshold Amount means the threshold amount under Schedule 1 for the financial year of which the relevant period forms part.

  • Dividend Threshold Amount has the meaning set forth in Section 5.04(a).

  • Threshold Amount means $5,000,000.

  • Threshold Appreciation Price has the meaning specified in Section 5.1.

  • Restoration Threshold means an amount equal to 5% of the outstanding principal amount of the Loan.

  • Indemnity Threshold has the meaning set forth in Section 9.3.

Part 2, Subpart 2.1 [see below], unless a higher threshold is requested by the district and approved by the cogni- zant agency for indirect costs.

  • stipulated minimum threshold means that portion of local production and content as determined by the Department of Trade and Industry; and

  • Threshold Period shall have the meaning set forth in Section 6(d).

  • Five Percent Owner means an Employee who, with respect to a Participating Company, is described in section 423(b)(3) of the Code.

  • Annual Specified Amount means $400,000 escalated on each Anniversary Date by the percentage by which the CPI last published prior to such Anniversary Date has increased over the CPI last published prior to the grant of the Burswood Casino Licence.

  • Materiality Threshold means limits for related party transactions beyond which the shareholders' approval will be required as specified in Companies Act, 2013 and rules thereof and amendments thereto.

  • Deductible Amount means, with respect to any Insuring Agreement, the amount set forth under the heading “Deductible Amount” in Item 3 of the Declarations or in any Rider for such Insuring Agreement, applicable to each Single Loss covered by such Insuring Agreement.
