As of November 30, 2007, the Issuer and its Subsidiaries had Annualized Consolidated EBITDA of at least $90,000,000.
The Borrower will not permit the ratio, determined as of the end of each of its fiscal quarters, commencing with its fiscal quarter ending September 30, 2005, of (i) Consolidated Funded Indebtedness for the fiscal quarter ending on such date to (ii) Consolidated EBITDA for each Rolling Period ending on such date, or Annualized Consolidated EBITDA for such Rolling Period in the case of a Rolling Period ending on or prior to March 31, 2006, to be greater than 3.0 to 1.0.
