Each of Apache Energy Limited and Apache Oil Australia is a corporation, and each of their Subsidiaries is a corporation or other legal entity, in either case duly incorporated or otherwise properly organized, validly existing and in good standing under the laws of its jurisdiction of incorporation or organization and has all requisite authority, permits and approvals, and is in good standing to conduct its business in each jurisdiction in which its business is conducted.
Each of Apache Energy Limited and Apache Oil Australia and each of their Subsidiaries has the corporate or partnership power and authority and legal right to execute and deliver the Australian Loan Documents and to perform its respective obligations thereunder.
