Apollo Entities definition

Apollo Entities means Apollo and each of its respective Controlled Affiliates.

Apollo Entities means Apollo Investment, Apollo Overseas, Apollo U.K. and their Permitted Transferees.

Apollo Entities means the Issuer and its Subsidiaries.

• The Company agrees to consider, in good faith, the recommendations of the Apollo Entities in connection with the matters on which the Company is consulted as described above.

• Such sharing will be for the dual purpose of facilitating support to such individuals in their capacity as Directors (or members of the governing body of any Subsidiary) and enabling the Apollo Entities, as equityholders, to better evaluate the Company’s performance and prospects.

• Except as otherwise expressly provided herein, no Person not a party to this Agreement, as a third-party beneficiary or otherwise, shall be entitled to enforce any rights or remedies under this Agreement; provided that the Apollo Entities shall be deemed third-party beneficiaries of, and entitled to enforce their rights or remedies under, the provisions of this Agreement that benefit the Apollo Entities.

• Nothing in this Agreement shall prevent the Corporation from having a greater number of nominees or designees of the Apollo Entities on the Board than otherwise provided herein.

• Subject to Section 3.2, any Apollo Entity (and any party receiving Information from an Apollo Entity) who shall receive Information shall maintain the confidentiality of such Information, and the Company shall not be required to disclose any privileged Information of the Company so long as the Company has used its commercially reasonable efforts to enter into an arrangement pursuant to which it may provide such information to the Apollo Entities without the loss of any such privilege.

Apollo Entities means the Selling Stockholders included under the heading “Apollo Entities” in Schedule II hereto.

Apollo Entities means, collectively, Apollo, Aegis LP, AP VIII Aegis Holdings GP, LLC and each of their respective Affiliates.

Apollo Entities means the Apollo Stockholder, its Affiliates that are beneficially owned by Apollo Global Management, Inc. and are Citizens of the United States and the Apollo Stockholder’s and such Affiliates’ respective successors and Permitted Assigns that are Citizens of the United States.

Apollo Entities means the Selling Stockholders included under the heading “Apollo Entities” in Schedule II hereto. “Applicable Time” means 4:00 P.M. (New York City time) on April 4, 2024;

Apollo Entities means Apollo and/or any of its Affiliates.

Apollo Entities means TopCo Parent, its Affiliates that are beneficially owned by Apollo Global Management, LLC and TopCo Parent’s and such Affiliates’ respective successors and Permitted Assigns.

Apollo Entities means the Issuer, its Subsidiaries (including the Apollo Operating Group) and the Manager.
