• This Agreement shall be binding upon the Company, the Apollo Holder, the Management Holders, any other Holders, any spouses of individual Holders and their respective heirs, executors, administrators and permitted successors and assigns.

Apollo Holder means (a) Athene Annuity and Life Company, Athene Annuity & Life Assurance Company, The Lincoln National Life Insurance Company and American Equity Investment Life Insurance Company, (b) Apollo Global Management, LLC or Athene Asset Management LLC or (c) any Affiliate of any Person set forth in clauses (a) or (b) above (it being agreed that all Persons for which Apollo Global Management, LLC or Athene Asset Management LLC or any of their respective Affiliates is a fund/investment advisor or asset manager for such Person at the applicable time of determination shall be deemed Affiliates of Apollo Holder for purposes of this definition).

Apollo Holder means individually or collectively, as the context so requires, the Initial Note B-1 Holder and/or the Initial Note B-2 Holder and any subsequent holder of such Note, provided such subsequent Holder is an Affiliate of such Initial Note B-1 Holder or Initial Note B-2 Holder (it being agreed that all Noteholders who are Apollo Holders, or are Persons for which an Apollo Holder or its Affiliate is a fund or asset manager, shall all be deemed to be Affiliates of such Noteholder).

Apollo Holder has the meaning ascribed to this term in the Registration Rights Agreement.

Apollo Holder means the Investors listed on the signature pages hereto as an "Apollo Holder" and any Affiliate thereof that is a Holder.

Apollo Holder means (a) any Person that owns, or has the right to acquire, Apollo Registrable Securities and (b) any assignee thereof in accordance with Section 2.12.
