Applicable Collateral definition
Applicable Collateral means (a) with respect to the Obligations of the U.S. Credit Parties in respect of the U.S. Subfacility, Collateral in which a security interest is granted by a U.S. Credit Party, and (b) with respect to the Obligations of any Credit Party in respect of the RoW Subfacility, Collateral in which a security interest is granted by any Credit Party.
Applicable Collateral shall have the meaning assigned to it in the Security Agreement.
Applicable Collateral means (a) with respect to the Obligations of the U.S. Credit Parties, the U.S. Collateral and (b) with respect to the Obligations of the Canadian Credit Parties, the Canadian Collateral and the U.S. Collateral.

Each Applicable Lender shall be deemed to have exercised reasonable care in the custody and preservation of its Applicable Collateral in its possession if such Applicable Collateral is accorded treatment reasonably equal to that which such Applicable Lender accords its own property.
No Lender shall claim (or support any claim by any third party) that a sale or other disposition of such Applicable Lender’s Applicable Collateral by such Applicable Lender was not commercially reasonable.

Applicable Collateral means, individually and collectively, as the context may require, “Collateral” (as defined in this Agreement and in the Mezzanine A Loan Agreement).
Applicable Collateral means (a) with respect to matters relating to US Security Documents, the US Collateral, and (b) with respect to matters relating to UK Security Documents, the UK Collateral.

Applicable Pledged Inventory", "Applicable Deposits", "Komag Deposit Account" or "Purchase Documents" (each as defined in the Master Security Agreement) may not be amended nor may any amendment to the Master Security Agreement be made which would adversely affect the rights of the Agent or the Lenders without the prior written consent of the Agent, which will not be unreasonably withheld; (c) the manner, place or terms for payment of any Phase Metrics Purchase Obligations, or any portion thereof may be altered or the terms for payment extended, or the Phase Metrics Purchase Obligations, may be renewed in whole or in part; (d) the maturity of any Phase Metrics Purchase Obligations may be accelerated in accordance with the terms of any present or future agreement by either Phase Metrics and Komag; (e) any Applicable Collateral may be sold, exchanged, released or substituted and any lien in favor of Komag may be terminated, subordinated or fail to be perfected or become unperfected; (f)any person liable in any manner for any Phase Metrics Purchase Obligations, may be discharged, released or substituted; and (g)all other rights against Phase Metrics, any other person or with respect to any Applicable Collateral may be exercised (or Komag may waive or refrain from exercising such rights).
Applicable Collateral means (a) with respect to the Revolving Collateral Agent, the Revolving Collateral and (b) with respect to the Term Loan Collateral Agent, the Term Loan Collateral.
