Applicable Exercise Price definition

Applicable Exercise Price means, with respect to each Company Stock Option, Common Stock Warrant and Preferred Stock Warrant, the exercise price required to be paid to acquire one share of Company Common Stock, in the case of a Company Stock Option or Common Stock Warrant, or one share of Company Preferred Stock, in the case of a Preferred Stock Warrant.

Applicable Exercise Price means, with respect to any Triggering Event, the Exercise Price immediately prior to such Triggering Event (taking into account any previous adjustments to the Exercise Price prior to such Triggering Event).

Applicable Exercise Price means the exercise price of a Qualifying Company Option as set forth in the applicable Company Option.

• No Shares will be issued upon exercise of the Option until full payment of the Applicable Exercise Price and Tax Amount has been made.

• Upon receipt of the Applicable Exercise Price and Tax Amount, the Company shall deliver to the Optionee a certificate representing the number of Shares purchased by the Optionee on the applicable Closing Date (as defined below).

More Definitions of Applicable Exercise Price

Applicable Exercise Price means a purchase price per Warrant Share equal to (i) the First Tranche Share Exercise Price if such Warrant Share is a First Tranche Share, or (ii) the Second Tranche Share Exercise Price if such Warrant Share is a Second Tranche Share, as each may be adjusted from time to time as provided herein.

Applicable Exercise Price means the Exercise Price of this Warrant as in effect at any given time during the term of this Warrant.

Applicable Exercise Price payable in lawful money of the United States of America upon surrender of this Warrant Certificate, with the form of election to purchase set forth hereon properly completed and executed, and payment of the Exercise Price at the office of the Company designated for such purpose, subject to the conditions set forth herein and in the Warrant Agreement referred to on the reverse hereof.
