Applicable Ratio definition

Applicable Ratio means 5.75:1.00 for calculations made on or before December 31, 2010; 5.50:1.00 for calculations made on or before December 31, 2011; and 5.00:1.00 for calculations made thereafter.
Applicable Ratio means the percentage representing the aggregate distributions made to Condor Member pursuant to Section 5.1.1(a) for the Fiscal Year divided by the full amount of the Condor Member’s Minimum Preferred Return for the Fiscal Year. For example, if the full amount of Condor Member’s Minimum Preferred Return for a Fiscal Year were $600,000.00 and the aggregate distributions to the Condor Member pursuant to Section 5.1.1(a) were $400,000.00, the Applicable Ratio would be 66.67%. If the full amount of the TWC Member’s Minimum Preferred Return for a Fiscal Year were $150,000.00, the Target Distribution Amount would be $100,000.00 (66.67% of $150,000.00), and if the actual distributions to TWC Member pursuant to Section 5.1.1(b) for the same Fiscal Year is zero (0), making the Available Cash Shortfall of TWC Member for that Fiscal Year $100,000.00.

Examples of Applicable Ratio in a sentence

  • If as a result of that review and estimation it appears likely that the includible expenses will exceed the limitations referred to in this Paragraph for a fiscal year with respect to the Fund, the monthly fee set forth in Paragraph 4 payable to Funds Management for such month shall be reduced, subject to a later adjustment, by an amount equal to the Applicable Ratio times the estimated excess pro rated over the remaining months of the fiscal year (including the month just ended).

More Definitions of Applicable Ratio

Applicable Ratio has the meaning set forth in Section 3.5 hereof.
Applicable Ratio means, in respect of any Category 1 Issuer Event, the ratio of (i) the Single Share Collateral Value of the Shares subject to such Category 1 Issuer Event, to (ii) the Share Collateral Value, in each case as determined as of the Scheduled Trading Day preceding the occurrence of such Category 1 Issuer Event.
Applicable Ratio as used in this Section 3(d), shall mean a percentage calculated by (i) taking the sum of (A) the Assets Invested equal to or less than $500 million multiplied by 0.70%, plus (B) the Assets Invested greater than $500 million multiplied by 0.60%, and dividing such total by (ii) the total Assets Invested.

Applicable Ratio as used in this Section 3(d), shall mean a percentage calculated by (i) taking the sum of (A) the Initial Commitments multiplied by 0.70%, plus (B) the Subsequent Commitments multiplied by 0.60%, and dividing such total by (ii) the sum of the Initial Commitments and the Subsequent Commitments. For the avoidance of doubt, the Applicable Ratio is intended to reflect the respective ratios that each of the Initial Commitments and Subsequent Commitments bear to the Fund’s aggregate Capital Commitments in determining the Management Fee payable after expiration of the Investment Period.
